WELX Legal

1. Eligibility

You must be at least 18 years old (or legal age in your jurisdiction). By using WELX, you confirm you meet this requirement. We may refuse service to anyone at any time.

2. Description of Service

WELX provides cloud storage, synchronization, sharing, backup, collaboration, and related tools for digital content. We may modify, suspend, or discontinue the Service at any time without notice.

3. Account Responsibility

You are responsible for maintaining account security, all activity under your account, and keeping credentials confidential. We are not liable for unauthorized access caused by your failure to protect credentials.

4. User Content Ownership

You retain ownership of your files. However, you grant WELX a limited license to host, store, transfer, and process your content solely to provide the Service. WELX does not claim ownership of your content.

5. Absolute User Responsibility for Content

You are fully and solely responsible for all content uploaded, stored, transmitted, or shared. WELX is a passive infrastructure provider and not a publisher or distributor.

6. Acceptable Use

You may NOT use WELX to store or share copyrighted content without rights, pirated software, music, movies, games, malware, phishing, hacking tools, illegal or harmful content, or content violating any law or regulation. We may remove content or terminate accounts immediately.

7. No Monitoring Obligation

WELX has no obligation to monitor content. Failure to detect illegal content does not create liability.

8. Immediate Suspension & Termination

We may suspend or terminate accounts at any time, without notice, for any reason or no reason. No refunds are required.

9. Service Availability

The Service is provided AS IS and AS AVAILABLE. We do not guarantee uptime, reliability, error-free operation, or continuous availability. Outages may occur at any time.

10. Data Loss Disclaimer

WELX is not a guaranteed backup service. We are not responsible for data loss, corruption, deletion, or security breaches beyond reasonable control. Users must maintain independent backups.

11. Third-Party Services

WELX relies on third-party infrastructure providers. We are not responsible for their failures.

12. Limitation of Liability

To the maximum extent permitted by law, WELX shall not be liable for loss of profits, loss of data, business interruption, or indirect or consequential damages. Total liability is limited to the greater of amount paid in last 12 months or USD $100.

13. Indemnification

You agree to defend and indemnify WELX against any claims arising from your content, your use of the Service, or violation of laws or rights. This includes legal fees.

14. Export & Sanctions Compliance

You may not use WELX if subject to international sanctions or restricted parties lists.

15. Arbitration & Class Action Waiver

All disputes must be resolved by binding arbitration. You waive the right to jury trials, class actions, and collective lawsuits.

16. Governing Law

This Agreement is governed by the laws of Singapore. All disputes must be resolved exclusively in Singapore.

17. Changes to Terms

We may update this Agreement at any time. Continued use means acceptance.

Account Data: Name, Email, Billing details

Usage Data: IP address, Device data, Log files, Service interactions

File Data: Files stored are encrypted and private. We do not sell or access content.

2. How We Use Data

We use data to provide the Service, improve functionality, prevent fraud and abuse, and comply with legal obligations.

3. Legal Bases (GDPR)

Processing is based on contract performance, legitimate interest, legal compliance, and user consent.

4. Data Sharing

We do not sell personal data. We may share data with cloud infrastructure providers, payment processors, and legal authorities when required.

5. Data Retention

We retain data only as long as necessary to provide services and comply with law.

6. Your Rights

We implement industry-standard security measures. No system is 100% secure.
